The charitable organization “Charitable Foundation “PERIMETER”, EDRPOU code 46117855, location: 61140, Kharkiv, Goldbergivska St., building 9, represented by Director Khrol Serhiy Yevhenovych, acting on the basis of the Charter, hereinafter referred to as the “Fund”, in accordance with the Civil Code of Ukraine, the Law of Ukraine “On Charitable Activities and Charitable Organizations” and the Charter of the Foundation, appeals to an unspecified circle of capable individuals and legal entities of private law, hereinafter referred to as “Benefactors”, with this public offer to conclude an agreement on the provision of a voluntary charitable donation on the terms set out below.

1. General provisions

1.1. This Public Offer is an official proposal of the Foundation to conclude an agreement on the provision of a voluntary charitable donation.

1.2. The offer comes into effect from the moment it is posted on the official website of the Fund: www.perimfund.org.

1.3. The offer is open-ended and valid until it is withdrawn or changed by the Fund.

1.4. The Fund has the right to change the terms of this Offer at any time by posting a new version on the Fund’s website. The new version of the Offer comes into force from the moment of its publication, unless otherwise specified in the Offer itself.

1.5. The Foundation may conclude agreements for the provision of charitable donations in a different manner and/or on different terms than those provided for in this Offer. The Benefactor may separately apply to the Foundation for the conclusion of such an agreement.

1.6. By making a charitable donation, the Benefactor confirms that he has read the terms of this Offer, fully understands them and unconditionally accepts them.

2. Terms and definitions

2.1. Charitable donation is a voluntary, free transfer of funds by the Benefactor to the property of the Foundation to achieve the goals of charitable activities in accordance with the Foundation’s Charter and the current legislation of Ukraine.

2.2. A benefactor is an individual or legal entity under private law who voluntarily makes a charitable donation in favor of the Foundation.

2.3. Acceptance is the full and unconditional acceptance by the Benefactor of the terms of this Offer by making a charitable donation in favor of the Foundation in any available way.

2.4. The Foundation’s website is the official website of the Foundation at: www.perimfund.org.

3. Subject of the contract

3.1. The subject of this agreement is the voluntary, gratuitous and irrevocable transfer by the Benefactor to the ownership of the Fund of funds in the form of a charitable donation.

3.2. Charitable donations are used by the Foundation to implement its statutory purpose, charitable programs, projects and areas of activity in accordance with the Foundation’s Charter and the current legislation of Ukraine.

3.3. The benefactor independently determines the size of the charitable donation.

3.4. The benefactor may indicate the intended purpose of the charitable donation, in particular for a specific project, direction, collection, or program of the Foundation.

3.5. If the Benefactor has not specified a specific purpose for the charitable donation, it is considered that such donation was made for the general statutory activities of the Foundation.

3.6. Making a profit is not the purpose of this agreement for either party.

4. Activities of the Foundation and directions of use of charitable donations

4.1. The Foundation carries out charitable activities in accordance with its Charter, in particular to promote the legitimate interests of beneficiaries in the areas of charitable activity defined by the Charter of the Foundation, and for the development of Ukrainian society.

4.2. Charitable donations may be used, including, but not limited to:

  • support for the Armed Forces of Ukraine, other military formations, law enforcement agencies, civil defense agencies and other persons participating in the defense of Ukraine;
  • acquisition, transfer or financing of material and technical means, equipment, supplies, transport, means of communication, energy supply, unmanned systems, components and other property;
  • medical, rehabilitation, humanitarian, social and other assistance to military personnel, veterans, the wounded, their family members and other persons in need of assistance;
    assistance to persons affected by armed aggression, emergencies, natural disasters, man-made disasters or other crisis circumstances;
  • support for charitable, social, humanitarian, medical, educational, cultural, rehabilitation and other programs and projects that meet the statutory purpose of the Foundation;
  • ensuring the current activities of the Foundation, necessary for the implementation of its charitable programs and projects.

4.3. The Foundation has the right to use part of charitable donations for administrative expenses necessary to ensure its activities, in an amount not exceeding the limits established by the current legislation of Ukraine and the Foundation’s Charter.

5. Regarding the use of charitable donations and the remaining funds

5.1. If a specific charitable project, collection, or direction for which a donation was made is not implemented, loses relevance, is completed, or if the amount of funds raised exceeds the actual need for such a project, the Foundation has the right to use the remaining funds for other charitable projects, programs, and directions of the Foundation’s activities in accordance with its statutory purpose.

5.2. By making a charitable donation to a specific project, collection or direction, the Benefactor confirms his consent to the possible redistribution and/or use of such funds in other charitable projects of the Foundation, in particular if the relevant collection is closed, completed, irrelevant or the need for it has already been met.

5.3. A charitable donation is voluntary and irrevocable. The amount of the charitable donation is not subject to return to the Benefactor, except in cases expressly provided for by the current legislation of Ukraine.

6. Procedure for making a charitable donation

6.1. The benefactor may make a charitable donation by transferring funds to the Foundation’s bank account, making a payment through payment instruments, services or forms posted on the Foundation’s website, or in another manner agreed with the Foundation and not prohibited by the current legislation of Ukraine.

6.2. A charitable donation can be made as a one-time payment or as a regular payment/subscription, if such a technical possibility is available through the payment services used by the Foundation.

6.3. A regular payment/subscription may be canceled by the Benefactor at any time through the tools of the relevant bank, payment service, or other available method provided for by the terms of such service.

6.4. The moment of making a charitable donation is the date of crediting the funds to the Foundation’s account or the date of successful payment through the appropriate payment service.

6.5. All costs associated with the transfer of a charitable donation, including bank fees or payment service fees, are borne by the Benefactor, unless otherwise provided by the terms and conditions of the relevant bank or payment service.

8. Acceptance of the Offer

8.1. Acceptance of this Offer is the full and unconditional acceptance of its terms by the Benefactor taking action to make a charitable donation in favor of the Foundation.

8.2. Acceptance can be made by money transfer using payment forms and means posted on the Fund’s website, or by transferring funds to the Fund’s bank account through banking institutions or payment services.

8.3. From the moment of Acceptance of this Offer, the contract between the Benefactor and the Foundation is considered concluded.

8.4. Acceptance of the Offer means that the Benefactor agrees with all its provisions, is aware of the subject matter of the agreement, the voluntary and irrevocable nature of the charitable donation, as well as the right of the Foundation to use part of the charitable donation for administrative expenses within the limits permitted by the legislation of Ukraine and the Foundation’s Charter.

8.5. The Benefactor and the Foundation agree that failure by the parties to comply with the written form of the transaction does not mean its invalidity.

9. Rights and obligations of the Foundation

9.1. The Foundation undertakes to use the received charitable donations in accordance with its Charter, the terms of this Offer, and the current legislation of Ukraine.

9.2. The Foundation has the right to independently determine the directions of use of charitable donations within the framework of its statutory activities, unless otherwise separately agreed in writing with the Benefactor.

9.3. The Foundation has the right to change the list of charitable projects, programs, collections, and areas of activity depending on current needs, opportunities, and circumstances.

9.4. The Foundation has the right to refuse to accept a charitable donation if its acceptance may contradict the current legislation of Ukraine, the Foundation’s Charter, the Foundation’s ethical principles, or may harm its reputation.

9.5. The Foundation has the right to request additional information or documents from the Benefactor in cases where this is necessary to comply with the requirements of the current legislation of Ukraine.

10. Rights and obligations of the Benefactor

10.1. The benefactor has the right to independently determine the amount of the charitable donation.

10.2. The benefactor has the right to specify the intended purpose of the charitable donation.

10.3. The benefactor has the right to receive information about the activities of the Foundation and the use of charitable donations in accordance with the procedure determined by the current legislation of Ukraine and the internal procedures of the Foundation.

10.4. The benefactor undertakes to make a charitable donation exclusively from funds that belong to him on legal grounds.

10.5. The benefactor confirms his legal capacity, the voluntariness of the transaction, and that the funds transferred as a charitable donation are not under arrest, are not the subject of a dispute, are not encumbered by the rights of third parties, and are not obtained by criminal means.

10.6. If the Foundation has reasonable doubts about the Benefactor’s statements, the Foundation has the right to request, and the Benefactor undertakes to provide, relevant supporting documents or information.

11. Reporting and information on the activities of the Fund

11.1. The Foundation may post information about its activities, implemented projects, assistance received, and reports on its website, social networks, or other official communication channels.

11.2. A benefactor may contact the Foundation with a request regarding the use of a charitable donation.

11.3. The Foundation provides information within the limits provided for by the current legislation of Ukraine, taking into account the requirements of security, confidentiality, protection of personal data and other restrictions that may be necessary in conditions of martial law or for other justified reasons.

11.4. In cases where disclosure of certain information may create risks to the safety of military personnel, beneficiaries, partners, volunteers, or other persons, the Foundation has the right to limit the detail of such information in public reports.

12. Personal data

12.1. The Foundation processes the Benefactor’s personal data provided when visiting the Foundation’s website, making a charitable donation, or otherwise interacting with the Foundation, for the purpose of properly implementing this agreement and the statutory activities of the Foundation.

12.2. Detailed information on the procedure for processing personal data by the Foundation is posted in the Foundation’s Privacy Policy on the website www.perimfund.org.

13. Responsibility of the parties

13.1. The Foundation is responsible for the use of charitable donations in accordance with the current legislation of Ukraine.

13.2. The benefactor is responsible for the accuracy of the information provided by him and the legality of the origin of the funds transferred as a charitable donation.

13.3. The Fund is not responsible for technical failures in the operation of banks, payment systems, services, telecommunications operators, hosting providers, or other third parties that may affect the payment.

14. Dispute Resolution

14.1. All disputes arising between the Foundation and the Benefactor in connection with the implementation of this Offer shall be resolved through negotiations.

14.2. If it is impossible to resolve the dispute through negotiations, it shall be subject to judicial review in accordance with the current legislation of Ukraine.

15. Final provisions

15.1. The legislation of Ukraine applies to the relations between the Foundation and the Benefactor.

15.2. The invalidity of a single provision of this Offer does not affect the validity of its other provisions.

15.3. This Offer is publicly available on the Fund’s website.

15.4. A donor who does not agree to the terms of this Offer must refrain from making a charitable donation.
